You are reporting, you are showing if you want to call them out in public. 00:00:02
Hey, you're. 00:00:14
Oh my God. 00:00:25
Here he comes. 00:00:30
Let's all clap when you get there. 00:00:31
All righty, let's. 00:00:37
Call the order on the. 00:00:41
We are going to go in now to the RDA meeting. 00:00:44
It is. 00:00:47
835. 00:00:49
On Cal it is Geez my. 00:00:50
January 14th. 00:00:54
We're good on the. 00:00:56
All right, we are going to move to. 00:00:59
There's no presentations, recognitions, rewards, proclamations. We're going to jump to the consent item. 00:01:01
3.1. 00:01:05
Approval of December 10th, 2025. RDA meeting minutes. 00:01:07
Can I get a motion on that please? 00:01:12
I move. 00:01:16
To approve the consent item. 00:01:17
The 3.1. 00:01:21
Approval of December 10th. 00:01:23
2nd. 00:01:25
All in favor. 00:01:26
OK. Jumping down to business item 4.1. 00:01:29
Appointment of subcommittee to review supplemental report from the independent audit. 00:01:32
Of the RDA. 00:01:37
Board section of this right here. 00:01:39
Yeah, it's actually these ones. It's the bottom ones, Yeah, so. 00:01:41
So I made-up copies just so everyone can have their own. 00:01:48
Of the supplemental. 00:01:52
Hard copy. There we go. 00:01:54
Yeah, I got and do you have one Jacob? I think that's we have an extra 1 if someone wants 1. 00:01:55
OK, umm. 00:02:01
Intent of this business item is to appoint a subcommittee as well, similar to what we did in Council meeting regard to 00:02:03
investigate. 00:02:06
Specifically, the Chapter 5 of the Supplemental Observations of the Recommendations report. 00:02:10
And get going. Start digging into that. 00:02:16
That portion of the audit as well. 00:02:20
Um. 00:02:23
Yeah, you. 00:02:26
Go right ahead. Yeah, Come grab. 00:02:28
So do I have any? I'd like to open that up for discussion. 00:02:30
Of if Council has anything they'd like to talk to about. 00:02:34
This business item. 00:02:38
I I would say item 5.9 in the supplemental report, the chapter 5. 00:02:39
I'm Not a Nine is really aimed at the City Council. 00:02:44
Those are actions the City Council will need to take, and so maybe that would be better. 00:02:48
Dealt with there and then we would deal with everything else. 00:02:53
But that. 00:02:56
OK here. Awesome. 00:02:57
Thank you. 00:03:00
Umm. 00:03:01
I would like to just go ahead just. 00:03:04
Yeah. 00:03:06
Since this is a public meeting. 00:03:08
I want to make sure people understand the basis of the RDA and where we stand. 00:03:10
The RDA Redevelopment Agency is set up to. 00:03:16
Try to help. 00:03:19
A blighted property to improve where a developer. 00:03:21
The state or you know the. 00:03:26
County, school district the five government entities came together to remediate and to. 00:03:29
Instead of them. 00:03:35
They pay their taxes. 00:03:37
And once they pay those taxes, they can get those taxes back as a rebate for the cleaning of the property. 00:03:40
Or for the. 00:03:48
Other things that the RDA. 00:03:50
Wants. 00:03:52
There's a lot of questions surrounding the documentation of the invoices. 00:03:54
Of what was paid out. 00:03:59
Reimbursed. 00:04:02
During that. 00:04:03
Process and. 00:04:04
We're at the tip of the iceberg here. 00:04:07
There's not a lot of documentation. 00:04:09
Very limited. 00:04:12
To be able to get into that. 00:04:14
And if the audit? 00:04:15
Would have been broader, we would have spent more time and effort, but we. 00:04:18
Politically, it was very narrow in scope. 00:04:22
There's going to be a lot more in this and so I think as we. 00:04:26
Put forth a subcommittee. 00:04:29
I would want it to be broad in scope. 00:04:31
And have them spend as much time getting into the weeds of that. 00:04:35
But I also would like them to understand. 00:04:41
The. 00:04:44
The. 00:04:46
Bill was passed to. 00:04:47
Or even. 00:04:49
Advised. 00:04:50
I would like them to get access to emails. 00:04:52
Conversations public documents as to. 00:04:54
Why they would go? 00:04:57
To this. 00:04:59
State to remove. 00:05:00
A school district from the process. 00:05:02
Of extending the RDA and how the RDA was extended. 00:05:06
By skipping that process. 00:05:10
And it doesn't matter if the school boards so approved it. 00:05:12
Think about by skipping the school board. How do you Who do you skip? 00:05:16
All the citizens. 00:05:19
So all the citizens wouldn't know that they would be ponying up. 00:05:21
And so even at that time when that was done. 00:05:25
It was not publicly known it was. I mean, they did public notices. So how were those notices done? 00:05:28
Were they done correctly? 00:05:33
How are we? Are those legally binding? 00:05:37
And why would in the world would we want to remove the largest input? 00:05:39
Of the. 00:05:43
The school district, those taxpayers from that process, that just is taxation without representation to be able to go through and 00:05:45
do that. So looking at how it was extended. 00:05:50
And if it was legally done? 00:05:55
And then also. 00:05:58
Reconvening and getting to know what they know on their side of those government entities about. 00:06:01
That, umm. 00:06:07
Also, I would like them to get into. 00:06:08
Not only. 00:06:14
Was it extended? 00:06:14
But. 00:06:16
My second My second point was. 00:06:18
They need to get into. 00:06:23
I sorry I read this. I'll let you guys talk with it and I'll come back to it. I need to think about it. 00:06:28
Parker, anything you'd like to add? 00:06:34
Yes, so as I understand. 00:06:37
Our job on the Redevelopment Agency Board. 00:06:40
Our primary responsibility is to ensure that funds are going to be used lawfully. 00:06:43
Transparently and with oversight. 00:06:48
And that was kind of the the key representation. 00:06:51
In these findings here. 00:06:54
Was that we've been lacking. 00:06:56
Oversight and clear written processes. 00:06:57
So my recommendation would be. 00:07:00
That the subcommittee while they, you know, get into the the weeds and they try to do this investigation or learn. 00:07:02
What the worst practices were. 00:07:08
Take these recommendations. 00:07:11
Find practical ways to implement them. Bring those suggestions back to us as the board. 00:07:13
Because it's our task now to not. 00:07:19
Necessarily be assigning. 00:07:22
Blame or relitigating the past? 00:07:23
But it is our task to make sure that our systems and our processes. 00:07:26
Are set up in such a way that the. 00:07:30
We ensure that there's proper use of the funds, that there's proper oversight and that we're doing things in a very transparent 00:07:33
and ethical manner. 00:07:36
Right, I now remember my thought. 00:07:39
There was a point in the RDA where. 00:07:41
The money wasn't getting back enough to Alpine School District to be able to fund the schools. 00:07:44
And so there was. 00:07:51
I don't know minimum payment or whatnot. I'm sure Carson could help me understand what that was and they renegotiated how that is. 00:07:52
Understanding. 00:07:59
Can a government entity renegotiate the RDA? 00:08:01
If the school district can renegotiate the commitment of the RDA, why can't? 00:08:04
Any of the other 4? 00:08:09
So what is the legal ramifications of that? 00:08:11
Also with. 00:08:14
The splitting of the school district. 00:08:15
This is a massive financial burden on the backs of Alpine School District. 00:08:17
With the split or 1/3 the size. 00:08:22
You can't just split that up. 00:08:25
In just a Timpanogo school district? Or if they are, do they understand it? 00:08:28
You know, and bringing them back. 00:08:32
Because they were cut off on the extension. 00:08:35
Because of that state law. 00:08:37
We need to understand. 00:08:40
You know, how did that happen? 00:08:42
And then and then with the new. 00:08:44
School District. 00:08:46
Do are they automatically put in and having an attorney look through that? 00:08:48
And understand that, but then obviously in the audit side of things. 00:08:53
I'm going to be very blunt. 00:08:59
There have been multiple workers that have come forth. 00:09:01
On. 00:09:04
The Mountain. 00:09:05
That have said work. 00:09:07
Did not happen over a very long period of time invoices were paid. 00:09:08
This all started from when I got the LRS letter. 00:09:13
That letter was a commitment out of the RDA. 00:09:16
And that was important because the RDA boundary is only Geneva steel. 00:09:20
Not in the middle of the lake. 00:09:24
I could understand a justification for that. 00:09:27
But it wasn't. 00:09:30
Done in a public way to understand to understand that and so like. 00:09:31
When I. 00:09:35
When that happened it. 00:09:36
It and I posted on social media, multiple workers came forward and said we did not work on that. 00:09:37
For a period of time. 00:09:43
Yet I know financial payments were being made. 00:09:45
So the auditor did not look into all of those things. I'm not saying that those claims. 00:09:48
Are true. 00:09:53
But because we were not in power. 00:09:54
It left us as in a begging situation instead of as a board authorizing it. 00:09:57
And being over the documents of the entire RDA now. 00:10:02
I would just ask that the RDA comeback. 00:10:06
With those to answer those specific questions and. 00:10:09
I would, I would. 00:10:12
Submit that we have professionals that helped. 00:10:13
And I would like to just. 00:10:16
Carson Walker. 00:10:18
John. 00:10:20
Many multiple people that actually pushed for and an open meeting were called liars. 00:10:22
But were vindicated with. 00:10:28
This audit. 00:10:30
The audit proved that the documents were not there. 00:10:32
And so I just want to say thank you to them and, and again, I don't want this to be a witch hunt. 00:10:36
But we're talking about hundreds. 00:10:43
Of millions of dollars in taxpayer dollars that we need to get to the bottom of. 00:10:45
Thank you. 00:10:51
Jacob, would anything to comment there, David Lurie. 00:10:52
Ezra. 00:10:56
Anything else? 00:10:58
No, just I mean. 00:11:00
Subcommittee to look into whatever. 00:11:01
It's great. I encourage all staff to just. 00:11:04
Work with. 00:11:07
Whomever is on the committee and. 00:11:08
Provide whatever documents they need to. 00:11:11
Figure out any questions they want answered and then we can move forward with some good policies to. 00:11:15
To help some of our procedural. 00:11:21
Items that we want to. 00:11:26
Improve. 00:11:27
And I think it's going to be a benefit. 00:11:28
Could I ask a question that's? 00:11:31
Maybe for you, Zach. 00:11:33
Sure. Kind of in the public too. 00:11:34
Is one of the. 00:11:37
Goals potentially of the subcommittee then to look at. 00:11:39
The RDA processes and maybe make a recommendation on. 00:11:42
I know you had. 00:11:46
Previously mentioned an idea of. 00:11:47
Staffing, uh. 00:11:49
Like employees in the RDA separately from the city is, would they be looking into that kind of a role or function as well? I think 00:11:51
so. I think would be definitely appropriate, I think as I kind of look at the RDA. 00:11:56
And. 00:12:01
There is so much going on. 00:12:02
Over there in terms of just size of growth and so many moving parts and just so nuanced. 00:12:04
To kind of what it's become. 00:12:09
And we're really at as a city at a. 00:12:11
Kind of a tipping point I would say, where we're going to even have, I mean the discussions I'm having with. 00:12:14
People that want to come and build and vineyard in the Rd. area is accelerating, not decelerating. 00:12:20
And so we need to have. 00:12:26
Just the appropriate amount of governance. Governance and oversight. 00:12:27
And just make sure we feel comfortable. 00:12:30
As building. 00:12:34
Continues at the same pace and if not, accelerate. 00:12:36
Over there so. 00:12:40
And I'd like to point out too, that, you know, the things we'll be looking into that subcommittee are pretty important. 00:12:42
Like insufficient. 00:12:48
Documentation for for billing packets and so forth, I'm substantiated labor multipliers like 270% of the actual cost. We're 00:12:49
obligated to repay them actual costs. That's part of our agreement. 00:12:56
But but that that's 270% of that is. 00:13:03
Nowhere in our documents do we. 00:13:06
Agree to that. 00:13:09
Also adequate detail of a subcontractor billing and so forth. We can't go back and trace things. 00:13:11
To verify. 00:13:16
The bills that we received. So there's a lot to look at and I think that will be busy for a while with this subcommittee. 00:13:17
Lots of lots of work to do for sure. 00:13:24
I want to take this as. 00:13:27
Professional. 00:13:31
As possible. 00:13:32
And Ezra, you as a position on the Council. 00:13:34
You are on the council and so I don't know how this is an open discussion. This isn't an attack. 00:13:38
Having. 00:13:42
Ben, you were not the RDA director. 00:13:43
Ever. 00:13:46
Right. 00:13:47
Or were you the director? Did you sign as the director? 00:13:48
At that time. 00:13:53
So I was filling the role. 00:13:54
Of it but. 00:13:55
And I've even spoke at a public meeting. 00:13:57
To go into the history a little bit and I don't want. 00:14:01
Go into this too much but. 00:14:04
The expectation when I came on as a city manager was that. 00:14:06
Jake Makar, the previous city manager, would stay on. 00:14:11
As an interim. 00:14:14
RDA or as an RDA director, we would contract with him. 00:14:16
And that. 00:14:20
I could consult with him at anytime. We'd pay him an hourly rate to. 00:14:21
To figure out all those details. 00:14:25
And that once that time ended. 00:14:27
That then I would take over all those responsibilities. 00:14:31
So that lasted about. 00:14:34
Four months where? 00:14:35
I would regularly consult with him, try to get as much background information details as possible. 00:14:37
And. 00:14:42
We got to a point where he said. 00:14:44
You've got everything that. 00:14:46
That I know and so. 00:14:47
I don't think I have any additional value to provide to you. 00:14:49
So once that. 00:14:52
Occurred. 00:14:54
Basically, just assume the role of. 00:14:56
Managing the RDA of. 00:14:59
Serving in that director level role of just. 00:15:00
Filling all of the responsibilities that he was doing under that agreement. 00:15:03
But there was never a formal action taken to. 00:15:09
Appoint me as that person. It was just included in my. 00:15:12
Duties to my understanding. 00:15:17
But that was apparently a point of contention with the previous Council if. 00:15:18
So did you ever sign? 00:15:23
Documents as the RDA. 00:15:24
Person. 00:15:26
I may have. 00:15:30
I'm not. 00:15:31
Entirely sure, my only question and I want to make sure this is clear. This is not an attack or anything, but. 00:15:31
As a member of the City Council, I don't think we can. 00:15:36
I don't think we can prohibit you from documents. 00:15:39
But I don't know how it should play out. 00:15:42
With the committee. 00:15:45
With you knowing what they're looking for because. 00:15:46
They would be looking at. 00:15:50
Your maybe part of your time. 00:15:51
So I don't know how that would play out, but I mean recusing yourself or. 00:15:55
Yeah, I mean, I'm fine if you want to look at. 00:15:59
Documents. 00:16:01
Obviously, if you're looking at documents from my time, I would have seen those. So right, right. I'm just saying. 00:16:03
I don't know. It's uncharted territory in terms of. 00:16:10
Conflict or But if they do arise you know let's discuss it openly so citizens are. 00:16:14
Have confidence and whatnot. 00:16:21
Yeah, I have no issues with that. I mean, I don't know how that view anything. I just. 00:16:23
That's there. Just came to mind. 00:16:26
Yep, yeah. 00:16:28
Anything else before we? 00:16:30
Take a motion on this. 00:16:32
My intent on this, my thoughts on this one, this subcommittee would be David Larae and Jacob Holdaway to look into this. 00:16:34
And then I would share the subcommittee as I with the other ones. 00:16:41
Again. 00:16:45
The new 6 members. 00:16:46
Former government, we can do that so. 00:16:50
No, if there's no other. 00:16:55
Discussion. Oh, just to clarify, would that include, so if you're going to send stuff to the council, would I be included in those 00:16:57
or not? 00:17:00
I don't know. 00:17:03
You can't not include him. Yeah, I think you have to be. 00:17:04
I don't know your involvement, that's why I just want to bring it up like is a. 00:17:09
Well, recusal of for. 00:17:13
On voting items where you feel it's appropriate. 00:17:15
I would think but. 00:17:18
But I would think you'd be perfectly. 00:17:19
Find knowing everything we know. 00:17:21
You can't, yeah. 00:17:22
How they recusal yeah Saratoga Springs when there's a conflict that they make him leave the room and not be involved in the 00:17:24
meetings when they're. But I'm like. 00:17:28
I don't know where your. 00:17:32
And I would recommend that you wait until we have maybe legal representation that could advise on those kind of things. 00:17:34
But I just wanted to bring it up. 00:17:41
I don't know where that goes. 00:17:42
Thanks. 00:17:43
Should we make a? 00:17:45
Yeah, let's. 00:17:47
No other comments are. 00:17:49
To be had, can I get a motion? 00:17:50
I move to approve the formation of the subcommittee as presented by the Mayor. 00:17:52
2nd. 00:17:56
All right, all in favor. 00:17:57
Aye, aye. 00:17:59
Awesome. 00:18:00
Motion passes. 00:18:01
OK, I. 00:18:03
That is all that we have today. We had public comments here at the bottom of the RDA meeting, but we're going to scratch that if 00:18:05
ever. Does anyone want to say anything? 00:18:09
OK. Does anyone have any comments? Yeah, that was. 00:18:14
OK, you guys. 00:18:17
All right, we'll do that. 00:18:19
Let's adjourn. 00:18:22
Could we before we adjourn? 00:18:25
Can, even though it's nothing official. 00:18:28
Can we state that? 00:18:30
We tentatively thinking about. 00:18:32
The Tuesday. 00:18:34
No, Yeah, let's. 00:18:36
Let's just wait. Yeah. Let's just wait. Let me. I'd love to be more transparent. Yeah. We are planning on doing meetings. Yeah. 00:18:39
Yeah, we're gonna. 00:18:46
Well, and and publicly notice them as fast as we can, yeah. 00:18:48
Awesome. 00:18:52
OK, well, let's adjourn. 00:18:52
Thanks guys. 00:18:54
Yeah, whack. 00:18:58
